Business Leader Accountabilities
Legal Governance & Advisory: Provide practical legal guidance to management, oversee corporate governance requirements, manage legal risk, and ensure the organization maintains strong legal foundations across all entities.
Strategic Governance: Establish and maintain org-wide compliance oversight, ensuring the company adheres to all local and international laws.
Risk Management & Mitigation: Proactively identify, assess, and mitigate regulatory risks and changes (e.g., CREATE MORE Act, DOLE orders) that could impact business continuity.
Audit & Statutory Readiness: Zero material errors in statutory filings and maintain an "Audit-Ready" environment for BIR, PEZA, and external auditors.
Operational Scalability: Lead AI and automation initiatives to improve the efficiency, accuracy, and scalability of compliance monitoring and reporting processes.
Key Accountabilities
Corporate Governance & Legal Support: Ensure all corporate reportorial requirements, board resolutions, corporate records, employment law matters, and contract obligations are properly managed and maintained.
Comprehensive Monitoring: Perform monthly monitoring of 100% of applicable regulatory requirements for the Company.
Accurate Statutory Remittances: Execute 100% on-time and error-free filing and payment of all tax returns (Monthly, Quarterly, Annual).
Permit & License Maintenance: Ensure 100% on-time renewal of all company business permits and government-issued licenses for subject employees.
Strategic Project Support: Lead the compliance aspect of cross-functional initiatives, including BCorp certification, ISO 27001, PEZA site expansions/closures, etc.

I. Team Leadership and Management
Lead and manage a team of compliance officers or specialists.
Provide guidance, training, and support to team members to ensure high performance and professional development.
Develop and implement team goals and objectives aligned with organizational strategies.
Conduct regular performance evaluations and provide constructive feedback.
II. Regulatory Compliance
Ensure the organization adheres to all relevant laws and regulations in the Philippines
Monitor changes in regulatory requirements and assess their impact on the organization.
Develop and update compliance policies and procedures in line with new regulations.

III. Contract Management
Oversee the review, drafting, and negotiation of contracts to ensure compliance with legal and regulatory standards.
Collaborate with legal teams to address compliance issues related to contract terms and conditions.
Implement processes for regular contract audits to identify and address potential compliance risks.
Maintain accurate records of all compliance-related documentation.
IV. Legal Affairs & Corporate Governance
Provide legal guidance to management on employment, corporate, commercial, and compliance matters.
Oversee corporate housekeeping requirements including Board Resolutions, Secretary's Certificates, Minutes, GIS filings, annual reportorial requirements, and coordination with corporate secretaries and external providers.
Review and advise on employment-related matters including disciplinary actions, investigations, employee separations, organizational changes, and labor law compliance.
Manage litigation, labor cases, and specialized legal matters.
V. Risk Management
Identify, assess, and mitigate compliance risks across the organization.
Develop and implement risk assessment frameworks and compliance monitoring systems.
Conduct regular compliance audits and investigations to ensure adherence to policies and procedures.
Report compliance issues and breaches to senior management and provide recommendations for corrective actions.
VI. Training and Awareness
Develop and deliver training programs on compliance policies and procedures for employees.
Promote a culture of compliance within the organization through awareness campaigns and regular communications.
Evaluate the effectiveness of compliance training programs and make improvements as needed.
VII. Stakeholder Management
Act as the primary point of contact for regulatory agencies and external auditors.
Coordinate with other departments to ensure comprehensive compliance across all
business functions.
Provide expert advice on compliance matters to senior management and the board of directors.
Perform any other tasks that may be assigned.
